1. Acceptance of Terms

By accessing or using darkrocksecurity.com or any Dark Rock cybersecurity consulting or software services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, do not use the Services.

2. Services Description

Dark Rock Cybersecurity (“Dark Rock,” “we,” “us,” or “our”) provides:

• Cybersecurity consulting services including virtual CISO, compliance assessments, penetration testing, and security operations advisory
• Software products developed by Dark Rock Labs including compliance management, threat analysis, and questionnaire automation platforms
• Informational content via this website

Specific terms for consulting engagements and software products are governed by separate service agreements and software license terms that supplement these Terms.

3. Intellectual Property

All content on this site - including text, design, graphics, logos, and software - is owned by Dark Rock or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any Dark Rock content without express written permission. Limited personal, non-commercial use is permitted provided you do not remove any proprietary notices.

Dark Rock software products and methodologies are proprietary. No license to Dark Rock intellectual property is granted by these Terms or by your use of this website.

4. Acceptable Use

You agree not to use this site or Dark Rock Services to:

• Violate any applicable law or regulation
• Transmit unauthorized or unsolicited communications
• Attempt to gain unauthorized access to Dark Rock systems or any third-party systems
• Introduce malicious code, viruses, or other harmful content
• Reverse engineer, disassemble, or decompile Dark Rock software
• Use automated tools to scrape or extract site content without authorization
• Impersonate Dark Rock or any Dark Rock personnel

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DARK ROCK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

IN NO EVENT SHALL DARK ROCK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DARK ROCK IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

This site and its content are provided “as is” without warranties of any kind. Dark Rock does not warrant that the site will be uninterrupted, error-free, or free of harmful components.

6. Indemnification

You agree to indemnify, defend, and hold harmless Dark Rock and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party right.

7. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Services shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

8. Termination

Dark Rock reserves the right to terminate or suspend your access to the Services at any time, without prior notice, for conduct that violates these Terms or is otherwise harmful to Dark Rock, other users, or third parties.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

9. Changes to These Terms

We may update these Terms periodically. When we do, we will update the “Last Updated” date at the top of this page. Continued use of the Services after a change constitutes your acceptance of the revised Terms. For material changes, we will provide at least 30 days' notice via site posting or email to registered users.
